Abstract
Abstract
The commercial business (goodwill) is considered an intangible movable asset of significant legal and economic importance. It has been regulated by the legislator within the provisions of commercial law, while also remaining subject to the general rules of civil law, particularly with regard to the possibility of contributing it as a share in the capital of companies, either through transfer of ownership or through usufruct.
The business is characterized as an intangible asset that essentially depends on customers and commercial reputation, and it is directly linked to commercial activity. This has led to doctrinal debate regarding its legal nature: some scholars consider it a factual set of elements, while others view it as a legal unity, although the prevailing opinion regards it as a form of intangible property.
Within corporate capital contributions, a share may be in cash, in kind, or in services. The in-kind contribution includes non-monetary assets such as real estate, tangible movable property, or intangible assets such as trademarks and the commercial business.
The commercial business may be contributed in two ways: either by transfer of ownership under the rules of sale, whereby ownership is transferred to the company in accordance with civil law and Algerian commercial law, or on a usufruct basis, where the partner retains ownership while granting the company only the right of exploitation without transfer of ownership, in a manner similar to the rules governing a lease contract.
