dc.description.abstractيعد تحول الشركات التجارية من أهم الآليات القانونية في القانون التجاري، كونه يسمح للشركة بتغيير شكلها القانوني دون أن يؤدي ذلك إلى انقضائها أو زوال شخصيتها المعنوية. ويبرز هذا التحول كخيار استراتيجي تلجأ إليه الشركات لمواكبة التطورات الاقتصادية والتنظيمية، سواء نتيجة عوامل داخلية كتوسيع النشاط وتحسين الأداء المالي، أو عوامل خارجية مرتبطة بتغير التشريعات واشتداد المنافسة الاقتصادية. وتتنوع صور التحول بين التحول القانوني والاتفاقي والجوازي والإلزامي إضافة إلى التحول البسيط والمركب، بحسب طبيعة التغيير الذي يطرأ على هيكل الشركة، وقد نظم المشرع الجزائري هذه العملية من خلال مجموعة من الضوابط القانونية، كاشتراط مدة زمنية محددة، وإعداد ميزانيات مدققة، والحصول على تقارير محافظ الحسابات، مع ضرورة احترام قواعد الاختصاص وموافقة الشركاء وفق طبيعة كل شركة. وتختلف عملية التحول عن الإدماج والانقسام، إذ لا يترتب عليها إنشاء شخص معنوي جديد أو تصفية الذمة المالية للشركة، بل يظل الكيان القانوني قائماً مع تغيير شكله فقط، وهو ما أثار جدلاً فقهياً حول طبيعته القانونية بين من يعتبره تجديداً للعقد ومن يراه مجرد تعديل شكلي. ومن خلال المقارنة بين التشريعات الجزائرية والفرنسية والمصرية، يتضح أن التحول يمثل وسيلة قانونية فعالة لضمان استمرارية الشركات وتكييفها مع المتغيرات الاقتصادية الحديثة. Abstract: The transformation of commercial companies is considered one of the most significant legal mechanisms in commercial law, as it allows a company to change its legal form without leading to its dissolution or the loss of its independent legal personality. This transformation represents a strategic option adopted by companies to adapt to economic and regulatory developments, whether due to internal factors such as business expansion and financial performance improvement, or external factors related to legislative changes and increasing economic competition. Company transformation may take several forms, including legal or contractual transformation, optional or mandatory transformation, as well as simple or complex transformation, depending on the nature of the structural change affecting the company. The Algerian legislator has regulated this process through a set of legal requirements, including the observance of a specific period of activity, the preparation of audited financial statements, obtaining statutory auditors’ reports, and respecting decision-making procedures and partners’ approval according to the type of company concerned. Unlike merger or division, transformation does not create a new legal entity nor lead to the liquidation of the company’s assets and liabilities; rather, the company maintains its legal identity while only its legal form changes. Comparative analysis of Algerian, French, and Egyptian legislations demonstrates that company transformation constitutes an effective legal mechanism for ensuring business continuity and adapting companies to modern economic changes.
